Nature of the Platform Initiative

OpenBill Pro is an open-source web and mobile application developed and maintained by an open digital platform initiative for Indian MSMEs. It is not an exclusive corporate monopoly. These terms govern the access and use of our officially hosted web cloud services, APIs, and community tools.

1. Agreement to Terms

By creating an account, accessing the hosted application, or utilizing OpenBill Pro services, you acknowledge that you have read, understood, and agreed to be legally bound by this Master Platform Agreement. If acting on behalf of a partnership firm, proprietary retail shop, or trade entity, you affirm that you have full authorization to bind such business.

2. Scope of Open-Source & Hosted Services

OpenBill Pro provides a high-performance digital billing suite enabling merchants to:

Generate tax invoices, delivery challans, and quotations in full compliance with the Goods and Services Tax (GST) Act of India.
Embed National Payments Corporation of India (NPCI) standardized dynamic UPI QR codes directly onto invoices and receipts.
Automate digital invoice delivery to customer WhatsApp chats using secure session protocols.
Export sales registries in portal-compatible CSV format for GSTR-1 government filings.
Manage customer books, credit terms, and payment ledgers (Udhar Khata).

3. Merchant Data Sovereignty & Zero Vendor Lock-in

As an open platform initiative, we believe your business data belongs entirely to you. You retain 100% full and unencumbered legal ownership over all invoice records, customer directories, product catalogs, and financial reports. OpenBill Pro asserts zero proprietary claims over your data and provides instantaneous 1-click full CSV exports with zero export restrictions.

4. Zero-Commission NPCI UPI Protocol Disclaimer

OpenBill Pro synthesizes standard NPCI deep link strings (`upi://pay?pa=...&pn=...&am=...`).

Direct Settlement Architecture: OpenBill Pro is not a payment gateway, payment aggregator, or intermediary wallet. All funds transferred via the generated UPI QR codes route directly from the customer's bank account to your shop's designated bank account with zero percent (0%) MDR commission deductions by OpenBill Pro. We are not responsible for commercial bank network downtimes or incorrect UPI IDs configured in your shop settings.

5. WhatsApp Messaging Integration & Anti-Spam Rules

Our automated WhatsApp invoice dispatch uses authenticated QR sessions (OpenWA) allowing merchants to send bills from their own registered number.

Users agree strictly not to use this capability for bulk unsolicited marketing, scamming, unauthorized promotions, or harassing customers. Violation of WhatsApp's Acceptable Use Policies or spamming complaints will result in immediate suspension of automation features.

6. Hosted Service Plans & Server Maintenance Contributions

To maintain reliable, 24/7 high-speed cloud infrastructure, database hosting, and daily encrypted backups, hosted cloud tiers (Starter and Pro) require modest operational contributions as outlined on our pricing page.

All new users receive a full 7-Day Unrestricted Free Trial with zero payment upfront. Subscriptions may be canceled at any time from your settings before the next renewal.

7. Platform Availability & Disclaimers

The hosted service is provided on an "as is" and "as available" basis. While our engineering team works diligently to ensure 99.9% uptime, OpenBill Pro makes no warranties regarding uninterrupted service due to upstream cloud network failures or statutory changes in tax law. Tax computations should be verified against prevailing GST Council notifications.

8. Dispute Resolution & Community Governance

In keeping with our open-source community principles, any disagreements or technical concerns should first be submitted to our community support desk at support@openbillpro.in. Any formal legal proceedings shall be subject to the exclusive jurisdiction of the competent courts in Bengaluru, Karnataka, India.
